CHANGES IN THE STRUCTURE OF AS PCTG

 

According to the draft resolutions to be presented to the 

extraordinary 

general meeting of AS PCTG shareholders, AS PCTG will acquire after 

the 

EGM’s approval OÜ Internetivärav XXL (incl. trademarks Zero and 

XXL). 

 

Proceeding from the changing economic context, market demand, and 

rapid 

expansion of information technology and internet in both business 

and 

private sectors, AS PCTG resolved to redefine its fields of 

activity.

 

AS PCTG business activities are currently concentrated on 

completion 

and sale of computers, and IT-services. As a result of the 

structural 

changes to be made, AS PCTG will be an internet-based information 

technology company.

 

Proceeding from the structural changes, the company’s current 

business 

name PCTG will be replaced by XXL.EE. The stock exchange company 

XXL.EE 

will be a holding company for digital media agency Zero, internet 

portal XXL.EE and IT-company PCT Arvutid.

 

The companies activities will be divided into three areas - 

1) completion and sale of computers, IT-services

2) digital media and internet solutions

3) interactive information solutions - portal

 

Following the restructuring, the company will be an internet-based 

IT-

group offering integrated digital media solutions to the corporate 

sector.

 

In order to better implement the new business model, the group 

resolved 

to include a strategic partner  - a leading Finnish portal 

development 

company Infopiste OY – for development of portal and internet 

services.
