MEMBERS OF THE SUPERVISORY AND MANAGEMENT BOARDS OF LEKS KINDLUSTUSE 

AS 

 

1. Tõnu Mägi and Toivo Kuldkepp submitted the applications to resign 

from the Supervisory Board of Leks Kindlustuse AS to 20.05.1999 

annual general meeting of Leks Kindlustuse AS shareholders. The AGM 

satisfied their resignation applications.

2. According to the resolution of the AGM, the new Supervisory Board 

will consist of five members. Indrek Holst, Eero Sirendi, Kalle 

Kaldjärv and Otu Sukles were elected the new members of the 

Supervisory Board.

3. The new Supervisory Board of Leks Kindlustuse AS consists of the 

following people:

3.1. Indrek Holst

3.2. Eero Sirendi

3.3. Kalle Kaldjärv

3.4. Otu Sukles

3.5. Christoph Dorschel 

 

On its first meeting held on 20.05 1999, the Supervisory Board of 

Leks Kindlustuse AS elected Indrek Holst its chairman.

 

The following is the employment record of last three years of the 

members of the Supervisory Board.

 

Indrek Holst 

1995 - member of the Management Board and manager of the Department 

of Development of Hansapanga Kindlustuse AS 

From September 1998 – Director of insurance division of Eesti 

Ühispank 

From January 1999 - chairman of the Management Board of Ühispanga 

Elukindlustuse.

 

Eero Sirendi – 

From 1994 – foreign exchange markets dealer and portfolio manager in 

Eesti Ühispank 

Currently employed by Eesti Ühispank as specialist in corporate 

finance division of investment banking department.

 

Kalle Kaldjärv

From 1.05.1996 – managing director and chairman of the Management 

Board of ETAS Kindlustus. 

1.05 1998 – 1.07.1998 managing director of Leks Kindlustuse AS. 

Currently employed by Tallinna Sadam as head specialist.

 

4. Due to expiration of authorizations of several members of the 

Management Board, the Supervisory Board of Leks Kindlustuse AS 

elected on its 20.05.1999 meeting Raul Kastan, Ivo Viires and Andres 

Piirsalu the new members of the Management Board. Sergei Vahnitski, 

Arvi Luhakooder and Mart Aare will continue as members of the 

Management Board.

Hence, the Management Board of Leks Kindlustuse AS consists of the 

following people:

4.3. Andres Piirsalu

4.4. Sergei Vahnitski

4.5. Mart Aare

4.6. Arvi Luhakooder

 

Andres Piirsalu as the new member of the Management Board of Leks 

Kindlustuse AS has worked in Leks Kindlustuse AS from 01.08.1995 as 

insurance director, and currently as re-insurance manager.

 

5. The following members of the Supervisory and Management Boards of 

Leks Kindlustuse AS hold shares in Leks Kindlustuse AS: Mart Aare 

(1000 shares), Kalle Kaldjärv (investment management account) (20 

000 shares), Raul Kastan (4546 shares), Arvi Luhakooder (22 shares) 

and Otu Sukles (1584 shares).
