PROPOSALS TO AMEND THE ARTICLES OF ASSOCIATION OF LEKS KINDLUSTUSE AS 

 

Amendment proposals to the Articles of Association of Leks 

Kindlustuse AS, as presented to the annual general meeting of 

shareholders (20.05.1999, article 2 on the agenda).

 

1) To rephrase article 8.4. of the Articles of Association as 

follows:

The Supervisory Board consists of 3 (three) to 7 (seven) members, all 

elected by the annual general meeting of shareholders for the period 

of three years.

 

2) To rephrase article 9.5. of the Articles of Association as 

follows:

The Management Board of the insurance company consists of 3 (three) 

to 7 (seven) members.

 

Moreover, pursuant to the amendments in the Commercial Code of the 

Republic of Estonia (amendments effective as of 17.06.1998), the 

annual general meeting of shareholders will be proposed to conform 

the provisions of the Articles of Association to changes in the 

Commercial Code of the Republic of Estonia, and authorize the 

Management Board of Leks Kindlustuse AS to make the respective 

changes.
