AUTOINVESTEERINGUTE OÜ TAKE-OVER BID TO SHAREHOLDERS OF AS FAKTO

 

In accordance with the Rules for Take-over Bids of the Tallinn 

Stock Exchange and legal acts of Republic of Estonia, 

Autoinvesteeringute OÜ hereby announces its offer to purchase all 

shares issued by AS Fakto on the following terms and conditions:

The offer is made in respect of all issued and outstanding ordinary 

shares of AS Fakto (ISIN code 3100003211), which are not owned by 

the offeror or persons or entities acting in concert with the 

offeror.

 

Term 	                        The period for acceptance of the

                                offer begins on 11.12.2000 at 10:00

                                a.m. and ends on 08.01.2001 at 

17:00 p.m.

 

Price        			EEK 22.70 per share

 

 

Value date and payment date     15.01.2001

 

 

The announcement was approved by the Tallinn Stock Exchange 

Take-over Committee on 08.12.2000.

 

A shareholder wishing to accept the offer should register a 

transaction order for the sale of the shares with his or her 

securities account operator or broker by 17:00 on 08.01.2001.

Only transaction orders that are filled in accordance with the 

aforementioned terms and conditions, and are submitted to the 

account operator bank not later than on 08.01.2001 at 17:00, are 

considered to be valid.

 

On the value date the proceeds from sale of shares will be 

transferred to the shareholder's cash account connected with his or 

her securities account. The shares will be transferred to the 

securities account of Autoinvesteeringute OÜ on value date of 

settlement, after payment to the shareholders who accepted the 

take-over bid.
