ADDITIONAL COMMENTS TO RESOLUTIONS OF  AGM



On 18.12.2000 the extraordinary general meeting of Optiva Pank 

shareholders decided to cover the loss for previous periods 

by EEK 155,833,241 and the loss for 2000 by EEK 77,134,660

through reduction of the share capital and premium write-offs.



In accordance with the AGM decision of 17.04.2001 net profit 

of EEK 180,984.97 earned after December 18, 2000, will be 

transferred to the balance sheet account "Retained earnings".
