JSC  "NORD/LB  Latvija"  extraordinary  general meeting of shareholders

closed  at  10:30  on  November  7,  2003,  and  passed  the  following

resolutions:



With regard to "NORD/LB Latvija" bonds issue:



1.       To issue JSC "NORD/LB Latvija" public 3-year bond with nominal

value  LVL 1000, at total value LVL 10,000,000 - in two separate issues

LVL 5,000,000 each.



2.       To give a mandate to JSC "NORD/LB Latvija" Management Board to

resolve  on  each  individual  issue,  as  well as to prepare, approve,

adjust  and  submit to the Financial and Capital Market Commission, and

any public, municipal or private institution the issue prospectuses and

any other documents that are required to issue the bonds publicly.
