JSC “Grindeks” statement about share capital increase and shareholders preemptive right 



JSC „Grindeks” (No. 40003034935, legal address: 53 Krutspils Street, LV_1057, Riga) 

announces that during the ordinary shareholders meeting on May 18, 2005 a resolution about 

the issuance of dematerialized presenter shares was adopted.



The existing share capital of the Company is LVL 7'735'000. The share capital of the Company 

consists of 7'735'000 dematerialized presenter shares with par value of LVL 1.00.



The share capital shall be increased by the issuance of single category 1'850'000  

dematerialized presenter shares with unrestricted voting rights, having the par value of 

LVL 1.00 per share. The share capital of the Company shall be increased up to LVL 9'585'000. 

The purchase price of the newly issued shares shall be determined by the Management  Board 

of the JSC “Grindeks” according to the terms of share capital increase  in the range of 

LVL 6.90 to LVL 7.90.



The existing shareholders of the Company in accordance with the Article 251 of the Commercial 

Law have the preemptive right to subscribe to all shares of the new issue pro rata to their 

total par value of shareholding according to the list of shareholders provided by 

JSC “Latvijas Centrālais depozitārijs” on May 18, 2005.



The term of application  for the preemptive right to the shares shall be determined the 

June 20, 2005.



The subscription to the new shares of the Company shall be made with the members of JSC 

“through its  trading  system  and within the trading hours in accordance with the regulations 

of JSC “Rīgas Fondu birža”.		 



The terms of share capital increase of the Company shall be available at the legal address of 

JSC “Grindeks” and at the members of JSC “Rīgas Fondu birža” on working days at 9 a.m. to 5 p.m.
