CONVOCATION OF A SHAREHOLDERS’ MEETING



At 1pm, on 7 October 2000, the extraordinary meeting of AB Alytaus Tekstilė

shareholders will take place at 1 Pramonės St., Alytus.

On the agenda:

1) approval of non-pecuniary contributions to the authorised capital;

2) increase of the authorised capital;

3) amendments to the Articles of Association due to the increase of the

   authorised capital;

4) announcement of the new share issue;

5) loan from a bank and mortgage of the property;

6) revocation of members of the Supervisory Board;

7) election of members of the Supervisory Board.
