CONVOCATION OF EXTRAORDINARY GENERAL SHAREHOLDERS’ MEETING



At 2 p.m. on 28 May 2002, the extraordinary general meeting of AB Dvarcioniu

Keramika shareholders’ will take place at the company’s premises.

On the agenda:

1) acquisition  of long-term assets for the price higher than 1/20 of the

company’s authorized capital;

2) mortgage of long-term assets;

3) amendments to the Articles of  Association.
