DECISIONS OF THE GENERAL SHAREHOLDERS’ MEETING

At the general meeting of Rokiskio Suris AB shareholders, held on

15 November 2002, the following decisions were adopted:

1) allow the Management Board to acquire long-term property the value of

which every year (2003-2004) would not exceed LTL 20 million.

2) the Management Board of the following nine members was elected:

Sevki Acuner, William Crewdson, Stanislava Jasineviciene, Vytautas Legas,

Toby Moore, Paul Pegden Smith, Antanas Trumpa, Dalius Trumpa, and

Aldona Tursienė.Sevki Acuner was elected chairman of the Management Board.
