GENERAL SHAREHOLDERS’ MEETING BEING CONVENED

Upon the initiative and decision of the Board, passed at the meeting of

26 November 2003, a general shareholders’ meeting of Grigiskes AB, the first

after the reorganisation of the Company, will be held at 10 a.m. on 29 December

2003 in the hall of the Grigiskes AB main office at 10 Vilniaus St. Grigiskes,

Vilnius.

On the agenda:

1)Acceptance and transfer of assets, rights and liabilities of Naujieji Verkiai

 AB;

2)Removal of the Supervisory Board members of Grigiskes AB;

3)Election of the Supervisory Board members of Grigiskes AB;

4)Approval of the new wording of the Articles of Association of Grigiskes AB.
