MATERIAL EVENT



THE ALLOTMENT OF THE NEW ISSUE OF ORDINARY REGISTERED SHARES WAS COMPLETED.



On 4 March 2004 the allotment of the new issue of ordinary registered

shares of AB Bankas NORD/LB Lietuva was completed since on the first

day of the second shares allotment stage all 305 (three hundred and

five) shares were subscribed which had remained non-allotted after

the first subscription stage. In the first and second Bank’s shares

allotment stages  195,067  (one hundred ninety five thousand and

sixty seven) ordinary registered shares were subscribed for LTL

18,531,365(eighteen million five hundred thirty one thousand three

hundred and sixty five), or 100 per cent of the share issue

registered with the Securities Commission of the Republic of

Lithuania on 29 January 2004 by the Securities Registration

Act No.B-5234.
