DRAUDIMAS AND UAB NORD/LB GYVYBĖS DRAUDIMAS



On April 8, 2004 (Thursday) AB Bankas NORD/LB Lietuva  made a sale

and purchase agreement on the shares of UAB NORD/LB Draudimas  and

UAB NORD/LB Gyvybės Draudimas  with Powszechny Zaklad Ubezpieczen

S. A. Closing of the transactions and transfer of the shares to the

ownership of Powszechny Zaklad Ubezpieczen S. A. are scheduled for

the end of April
