AMENDMENTS TO THE BYLAWS OF AB BANKAS NOR/LB LIETUVA WERE REGISTERED



On 30 April 2004, amendments to the Bylaws of AB Bankas

NORD/LB Lietuva were registered, according to which:

the share capital of the Bank amounts to LTL 195 116 795

(one hundred ninety fife million one hundred sixteen thousand

seven hundred and ninety five) and is divided in 2 053 861

(two million fifty three thousand eight hundred and sixty one)

ordinary registered shares; the number of the Supervisory Council

Members of the Bank is increased to 7. Mr. Viktoras

Valentukevičius and Mr. Antanas Zabulis start holding office in

the  Supervisory Council;  other amendments to the Bylaws
