Decisions of the general meeting of shareholders



The general meeting of shareholders of Grigiskes AB held on April 22, 2005 took

the following decisions:

1) approved the 2004 Report on the activity of the company;

2) approved the company's annual financial statements for 2004;

3) approved profit (loss) appropriation (the amount of LTL 2 m was allotted for

payment of dividend);

4) elected the firm of auditors Deloitte&Touche for the performance of the 2005

- 2006 audit and established the terms of remuneration for audit services.
