AB Bankas NORD/LB Lietuva Stock Exchange Release 14 11 2005



Regarding notification about share transfer

                                                                       

AB Bankas NORD/LB Lietuva has been notified that the Bank's 

largest shareholder - Germany-registered bank Norddeutsche 

Landesbank Girozentrale - has as per 11 November 2005 

transferred its 2 294 643 ordinary shares in AB Bankas

NORD/LB Lietuva to NORD/LB Holding A/S company registered

in Denmark which is 100 percent owned by Norddeutsche Landesbank

Girozentrale. The total nominal value of shares trasferred is

LTL 217 991 085. They constitute  93.11 percent of the authorized

capital of AB Bankas NORD/LB Lietuva. For the shares trasferred

Norddeutsche Landesbank Girozentrale will acquire newly issued

NORD/LB Holding A/S shares.

On November 10, 2005 the board of the Bank of Lithuania granted its

consent to NORD/LB Holding A/S to acquire a qualifying holding

of an authorised capital and (or) voting rights in 

AB Bankas NORD/LB Lietuva.
