RESOLUTIONS OF THE EXTRAORDINARY MEETING OF ASA 

KINDLUSTUS AS SHAREHOLDERS

 

The 17.09.99 extraordinary general meeting of ASA Kindlustus 

AS shareholders made the following resolutions:

 

1. To recall from the office all members of the current 

Supervisory Board of ASA Kindlustus AS.

For: 100% of EGM attendants.

 

2. To elect Ülo Mallene, Raul Markus and Toomas Mälberg 

the new members of the Supervisory Board of ASA 

Kindlustus AS.

For: 99.5% of EGM attendants. 

 

The Supervisory Board member Ülo Mallene is the member 

of the Supervisory Board of Liviko Kaubanduse AS as of 

year 1997. Between 1997-99 Mr. Mallene worked as assistant 

to the population minister of Estonia; 1994-97 he was the 

chief editor of magazine "Ärielu".

He does not own shares in ASA Kindlustus AS.

 

The Supervisory Board member Raul Markus graduated in 1993 

from the law department of the University of Tartu; he has 

worked in law-office Olevimäe Advokaadibüroo as of 1994. 

Markus is an attorney-in-law and partner in Olevimäe AB. 

He does not own shares in ASA Kindlustus AS.

 

The Supervisory Board member Toomas Mälberg graduated in 1996 

from the philosophy department of the University of Tartu, 

majoring in law; he has worked in law-office Concordia as 

of 1994.

He does not own shares in ASA Kindlustus AS.
