ABOUT INCREASE OF SHARE CAPITAL

 

Opposite to the allegations made in the article published 

in newspaper "Äripäev" on 23.09.1999, the representatives 

of Balti Cresco Investeerimisgrupp, as the organizer of 

the company's share issue, and OÜ Vävars have never met to 

discuss the possible subscription for shares by OÜ Vävars. 

The graph published in "Äripäev" describing AS Pennu Computer 

Technology Group ownership structure after the share issue 

is also inaccurate. 

 

In accordance with the 06.09.1999 resolution of the 

shareholders' general meeting, the share capital of AS Pennu 

Computer Technology Group will be increased by 4 million EEK 

through the issue of 400 000 new shares, of which 100 000 

shares will be issued directly to the owners of OÜ Internetivärav 

XXL. All current shareholders of AS PCTG have an equal right to 

subscribe for the remaining 300 000 shares. 

 

The subscription for shares will begin after registration of 

the issue prospectus with the Securities Inspectorate. The 

shares will be paid for in money; subscription and payment 

for shares will take place concurrently. Balti Cresco 

Investeerimisgrupp has guaranteed the issue at 20 EEK level.
