LEKS KINDLUSTUSE AS ANNOUNCEMENT OF SHARE ISSUE  

 

Leks Kindlustuse AS (Tornimäe 2, Tallinn) announces that in 

accordance 

to the 20.05.1999 decision of the annual general meeting and the 

22.06.1999 decision of the extraordinary general meeting, it is 

issuing 2 510 560 common shares with a face value and issue price 

of 

10 EEK.  Subscription rights belong to the shareholders of Leks 

Kindlustuse AS, who are listed in the fixed list as of 04.06.1999 

at 8 

a.m.  

 

Subscription rights holders have the right to accept an alternative 

to 

the share issue, which is the marking and ownership of Leks 

Kindlustuse AS warrants.  These warrants will be issued during the 

same time period as the share issue.  Three subscription rights 

grant 

the right to obtain one share or warrant.  

 

A warrant is an electronic share that grants its owner the right 

for 

one year, beginning with the share issue period, to demand a share 

buyout at the share price of 12 EEK.  The share issue or the 

alternative warrant issue shall take place between 11.08.1999 and 

6.08.1999. 

 

Issued shares or warrants must be presented through an account 

operator of the Estonian Central Depository for Securities for 

public 

disclosure and to ensure that payments for the shares at the 

issuing 

price are concluded.  The issuance of warrants does not require 

payment.

 

The account operators of the Estonian Central Depository for 

Securities are Eesti Krediidipank (address Narva St. 4, Tallinn); 

Eesti Ühispank (address Tornimäe 2, Tallinn); Hansapank (address 

Liivalaia St. 8, Tallinn) and Optiva Pank (address Narva St. 11, 

Tallinn).
