ADDITIONAL INFORMATION ABOUT THE ACQUIRED SHAREHOLDINGS

 

Due to the changes in AS ESS shareholders’ circle and inclusion 

of the strategic investor, the AS ESS Supervisory Board decided 

to change the structure of the organization, concentrating only 

on the security services and the development of the fields of 

activities which are directly connected with it.

 

Due to that, the Management Board of AS ESS alienated on 

November 27, 1998, the following shareholdings of AS ESS:

According to the sales contracts, the payments for all the 

alienated shareholdings should be made by December 15, 1998.

 

During 9 months of 1998, the total net sales of the above-

mentioned companies totaled 9.9 million EEK, or 4.9% of the 

consolidated net sales of AS ESS. The economic activities of 

these companies had no significant impact on the profit of AS 

ESS.

 

At the moment of alienation, these companies had no loan 

obligations, there were no court cases connected with them, and 

AS ESS had no valid contracts with these companies.

 

The Management Board of AS ESS confirms that the above-

mentioned transactions cannot be treated as transactions with 

the connected persons, as defined in the section “Requirements 

for issuers” article 6.10 of the Rules and Regulations of the 

Tallinn Stock Exchange.
