HK RUOKATALO MAKES PUBLIC TENDER OFFER TO SMALL SHAREHOLDERS



HK Ruokatalo Oyj is a 79.92% shareholder of AS Rakvere Lihakombinaat. Rakvere 

Lihakombinaat is listed on the Tallinn Stock Exchange. HK Ruokatalo is making a 

public tender offer to all small shareholders of Rakvere Lihakombinaat to 

acquire 100% of the Rakvere Lihakombinaat’s shares. HK Ruokatalo is presenting 

its offer in accordance with the Takeover Code prepared by the Tallinn Stock 

Exchange. 



HK Ruokatalo is making the offer to all Rakvere Lihakombinaat’s shareholders for

all of their shares at a price of 4.70 kroons per share. As the goal of the 

offer is to gain 100% shareholding in Rakvere Lihakombinaat, HK Ruokatalo will 

then apply for delisting Rakvere Lihakombinaat from the Tallinn Stock Exchange. 

The public tender offer will begin on February 1, 2000 at 10:00 and will end on 

March 14, 2000 at 17:00. The value date of the offer is March 17, 2000 when the 

money and shares will be transferred. The offer price of 4.70 kroons per share 

exceeds the weighted average price of Rakvere Lihakombinaat’s share on the 

Tallinn Stock Exchange during the past 6 months (3.579 kroons per share) by 

31.32%.
