ANNOUNCEMENT



APPLICATION FOR DELISTING



According to the decision of AS Rakvere Lihakombinaat Supervisory 

Board of 28.03.2000, AS Rakvere Lihakombinaat submitted on 26.04.2000 

an application to the Tallinn Stock Exchange Listing Committee for 

delisting of the company's shares from the Tallinn Stock Exchange.



HK Ruokatalo Oyj, the owner of 91.4% shares in Rakvere Lihakombinaat, 

has expressed its wish to acquire 100% of the company's shares at 

price of EEK 4.70, and has made a respective take-over bid to all 

minority shareholders. HK Ruokatalo has consented to continue to buy 

the shares at aforementioned price also after delisting of the company's 

shares from the Tallinn Stock Exchange.



Due to low liquidity of Rakvere Lihakombinaat shares on Tallinn Stock 

Exchange and lack of need for additional capital due to existence of 

a strong core investor, the company's executive management decided to 

apply for delisting of the company's shares from the Tallinn Stock 

Exchange.
