LISTING COMMITTEE'S DECISION ABOUT THE APPLICATION OF RAKVERE
LIHAKOMBINAAT
The Tallinn Stock Exchange (TSE) Listing Committee discussed on its
23.05.2000 meeting the application of AS Rakvere Lihakombinaat
(RLK) to delist the shares of RLK from the Secondary List of TSE.
According to article 11.1. of chapter "Requirements for Issuers" of
the TSE Rules and Regulations, the issuer's securities can be
delisted with the respective decision of TSE Listing Committee,
which is made based on the issuer's written application. TSE
Listing Committee has a right to refuse to satisfy such application
if delisting of these securities would substantially harm the
interests of investors.
As of 17.05.2000 RLK had 504 shareholders. HK Ruokatalo Oyj owned
91.43% holding in RLK, thus 503 shareholders held altogether 8.57%
of RLK shares.
After delisting its shares, RLK will not have an obligation to
fulfill the requirements stipulated in chapter "Requirements for
Issuers" of the TSE Rules and Regulations, thus equal and
simultaneous access to information necessary for making investment
decisions would not be guaranteed to all shareholders. Hence the
interests of all shareholders would not be sufficiently protected.
TSE Listing Committee found that delisting of RLK shares would
substantially harm the interests of investors.
Based on this information and in accordance with article 11.1. of
chapter "Requirements for Issuers" of the TSE Rules and
Regulations, TSE Listing Committee decided not to satisfy RLK's
application for delisting its shares from the Tallinn Stock
Exchange.
