MERGER OF INTRA-GROUP COMPANIES



On 28.06.2000 the Management Boards of Estiko-Raamex and Estiko-

Plastar signed a merger agreement, whereby the assets of AS Estiko-

Raamex will be transferred to AS Estiko-Plastar. The activities of 

Estiko-Raamex will be terminated. 

According to the agreement, no changes will be made to the employment 

contracts of the company's current workers.

The share capital volume of AS Estiko-Raamex is EEK 890,000; AS 

Estiko-Plastar share capital is EEK 1.5 million.
