INCREASED HOLDING IN WEROL TEHASED



Hüvitusfond will increase its holding in subsidiary AS Werol Tehased from 

62.48% to 67.70%.

 

In March 2000 Hüvitusfond announced a public offering for sale of 382,370 

shares of AS Werol Tehased (EEK 10 par value), pledged by AS Lõunatööstus 

to favor of Hüvitusfond, as Lõunatööstus failed to meet its contractual 

liabilities to Hüvitusfond. The offering failed, however, since the winner 

of public offering did not conclude the share purchase transaction.



On 07.07.2000 Hüvitusfond announced a new offering for sale of pledged 

shares. Hüvitusfond also made a purchase bid in response to the public 

offering. Since no other bids were made, Hüvitusfond will acquire all 

publicly offered shares of AS Werol Tehased for price of EEK 1,926,227.11 

(EEK 5.0376 per share). After conclusion of the transaction, Hüvitusfond 

will increase its holding in AS Werol Tehased share capital by 5.2165%. 

Before acquisition of shares Hüvitusfond had 62.48% holding in AS Werol 

Tehased; after acquisition of shares the fund will own 67.70% holding in 

AS Werol Tehased share capital.
