APPLICATION FOR DELISTING OF SHARES
On 11 September 2000, Skandinaviska Enskilda Banken AB (publ) made an
offer to the shareholders of AS Eesti Ühispank in accordance with the
Rules for Take-over Bid of the Tallinn Stock Exchange and other
regulations effective in Estonia in regard to acquiring all shares
issued by Eesti Ühispank. As a result of the take-over bid, SEB has
acquired 96 % of all the shares of Eesti Ühispank.
On the basis of aforesaid AS Eesti Ühispank is going to submit on 12
December 2000 to the Listing Committee of the Tallinn Stock Exchange
the application for the authorisation to terminate the listing of
Eesti Ühispank's shares on the Tallinn Stock Exchange.
Due to the fact that according to the Rules of the Helsinki Stock
Exchange and other regulations effective in Finland the Offer Period
in Finland lasts until 29 December 2000, AS Eesti Ühispank is going
to submit the Delisting application to the Helsinki Stock Exchange at
the beginning of January 2001.
Upon delisting of Eesti Ühispank's shares on the Helsinki Stock
Exchange the trading with Eesti Ühispank's shares on the Frankfurt,
Munich and Berlin Stock Exchanges will be terminated automatically.
AS Eesti Ühispank has also decided to submit an application to the
Luxembourg Stock Exchange for delisting of Global Depositary
Receipts issued in respect of the shares of Eesti Ühispank.
The trading with the shares of Eesti Ühispank on all the above
stock exchanges continues until the adoption of the respective
delisting resolutions. After the delisting, the shareholders of Eesti
Ühispank can sell the shares of Eesti Ühispank off the market.
Skandinaviska Enskilda Banken AB (publ) has undertaken to
purchase outstanding shares of Eesti Ühispank at the price of EEK
38.00 during a one-year period after the delisting on the Tallinn
Stock Exchange.
