SHARE CAPITAL INCREASE



Pursuant to Article 349 of the Commercial Code and the Council

resolution of AS Hansapank from 27 March 2002 whereby the Council

resolved to increase the share capital for the purposes of carrying

out the Options Programme established by the resolution of the Council

on 2 March 2000 and having regard to the results of the subscription

for the new shares from 02 April 2002 through 17 April 2002, whereby

all new shares were subscribed for, the Board hereby resolves:



To confirm the subscription list.



To confirm that the number of new shares subscribed for shall be

485,000 (four hundred and eighty five thousand), the amount of share

capital increase shall be EEK 4,850,000 (four million eight hundred

and fifty thousand kroons), the total amount paid in EEK 67,221,000

(sixty seven million two hundred and twenty one thousand kroons)

including the premium in the amount of EEK 62,371,000 (sixty two



million three hundred and seventy one thousand kroons).



Hansabank will apply for the listing of the new shares after the

registration of the share capital increase in the commercial register.
