MERGER OF COMPANIES WITHIN THE GROUP



On 5 September 2002 AS Norma and AS Norma Maja entered into a 

notarised merger agreement. On 9 September 2002 AS Norma, the sole 

shareholder of AS Norma Maja, adopted the resolution of merger of the 

two commercial undertakings. 

From 18 September 2002, the shareholders of AS Norma can examine the 

merger agreement, the merger report, the auditors’ report and the 

three preceding annual reports and activity reports of the merging 

undertakings at the seat of AS Norma. Until 18 October 2002, the 

shareholders of AS Norma may demand that an extraordinary general 

meeting be held for adoption of the merger resolution by submitting 

the relevant request to the management board of AS Norma. The 

extraordinary general meeting will not be held unless shareholders 

whose shares represent at least one-twentieth of the share capital 

demand this.
