On   April   11,    2003  JSC  "Grindeks"  acquired  154  267  Tallinn

Pharmaceutical  Plant  (TPP)  shares  or  12.24%  of TPP share capital.

Presently JSC "Grindeks" is the control interest holder in TPP with 801

681  shares  or  64.14%.  As  a  result  of the acquisition, "Grindeks"

interest in TPP share capital will be 76.48% or 955 948 shares.
