Material changes have taken place in JSC "Kaija" shareholder structure.

On  August  28,  2002  "Latvijas  Krājbanka" have executed their vested

rights  on  the pledged "Kaija" shares representing control interest in

the  company,  and  have  sold  it.  Previously  the  control interest,

representing  63.75%  of share capital, belonged to Imants Kalniņš, JSC

"Kaija"   Chairman   of   Management  Board.  Total  number  of  shares

outstanding is 4,840,00 and nominal value of one share is LVL 1.

The new shareholders are:

1. AG Albakon, registered in Liechtenstein - 30.18%;

2. Marinim Ltd., registered in United Kingdom - 18.8%;

3. Caravela LLC, registered in the USA, Kentucky - 14.77%.
