On  December  14,  JSC  "Olainfarm"  extraordinary  general  meeting of

shareholders  resolved  to amend the Company Charter, providing that in

future  Supervisory  Board will have resolving powers only in case when

not  less than a half of the members plus Chairman of Supervisory Board

are  present  (Article  4.37).  Also, Company Management Board will not

have  the  mandate  to  resolve  on  issues related to participation in

investment  projects without obtaining a prior consent from Supervisory

Board (Article 4.40.1.12)
