The  conditions  precedent  to  the sales agreement signed on April 30,

1999 between JSC "Hansapank" and Sampo Enterprise Insurance Company Ltd

for the sale of 100%

of JSC "Eesti Kindlustus" shares, have been fulfilled whereby the share

purchase transaction has entered into force.
