JSC  "Gutta"  shareholders  general meeting will take place at 12 PM on

May 7,1999

on the premises of JSC "Gutta".

On the agenda:

1) Adjustments to the provisions of attraction of strategic investor.

2) About conversion of closed issue shares to the publicly tradable.

Authorisation  of the Management Board to conform prospectus and make a

decision  about  conversion  of  closed  issue  shares  to the publicly

tradable shares.

3) Miscellaneous.

Shareholders  who  wants to attend shareholders general meeting have to

announce blockage of their shares by the April 26,1999.
