Extraordinary meeting of shareholders
On 27 April 2005, FöreningsSparbanken AB, registry code: 502017-7753, address:
105 34 Stockholm, Sweden ("FSB"), whose shares represent 99.0% of the share
capital of AS Hansapank, registry code: 10060701, address: Liivalaia 8, Tallinn
("Hansabank"), submitted an application to the management board of Hansabank for
takeover of the remaining 1.0% of the shares of Hansabank (the "Minority Shares")
against fair monetary compensation in accordance with Commercial Code Chapter
291. Hansabank management board received this application on 28 April 2005.
In view of the above and based on the Commercial Code §§ 294, 3631(3) and 3633,
the management board of Hansabank hereby calls an extraordinary general meeting
of the shareholders, which will decide on the takeover of the Minority Shares by
FSB against fair monetary compensation.
The extraordinary general meeting will be held at Hotel Viru conference centre,
conference hall Grande 3, in Tallinn, Viru square 4, on 30 May 2005 and will
start at 12:00.
FSB has determined the amount of the fair monetary compensation payable to
minority shareholders of Hansabank for the takeover of their shares to be EEK
211.23(EUR 13.50) per share.
The agenda of the extraordinary general meeting will be the following:
1. Explanation and reasoning of the conditions for the takeover of the shares
held by the minority shareholders of Hansabank and the basis for determination of
the amount of compensation payable to such shareholders;
2. Deciding on the takeover by FSB of the shares held by minority shareholders of
Hansabank.
3. Determining the compensation to Supervisory Board members of AS Hansapank.
As of 29 April 2005 the shareholders of Hansabank have the right to examine the
following documents at Hansabank's head office at Liivalaia 8, Tallinn, on
business days from 09:00 to 17:00:
(i) the draft resolution of the extraordinary general meeting;
(ii) the annual reports and management reports of Hansabank for the previous
three years;
(iii) the takeover report; and
(iv) the auditor's report.
Shareholders are entitled to receive a copy of such documents upon request from
Hansabank.
