DIVIDEND PAYMENT PROCEDURE AND AMOUNT



Following the decision of AB Lietuvos Žemės Ūkio Bankas general

shareholders' meeting held on 30 January,1995, holders of  preference

shares of  Žemės Ūkio Bankas will be paid dividend of 10%  nominal value

for the year 1994. The dividends will be subjected to statutory income tax

and will be paid from 1 February, 2000.
