ELECTION OF CHAIRMAN OF SUPERVISORY BOARD , MEMBERS OF BOARD



On 28 June, 2000 at the sitting of the newly elected Supervisory Board of

SPAB Kauno Energija it was decided to elect Kæstutis Mikënas chairperson

of the Supervisory Board, Karolis Bruderis deputy chairperson of the

Supervisory Board. It was also decided to appoint the following persons members

 of the Board: Arvydas Augonis,Rimantas Bakas, Gediminas Budnikas, Rymantas

Juozaitis, Vidas Kazlauskas, and Romualdas Škėma, to appoint Alfredas

Sabaliauskas chairperson of the Board. At the extraordinary shareholders’

meeting of 28 June 2000 a decision concerning the decrease of the authorised

capital was passed. The authorised capital is reduced by reducing the nominal

value of shares to LTL 6.
