MATERIAL EVENT



ADOPTED DECISIONS OF THE EXTRAORDINARY SHAREHOLDERS’ MEETING



On 14 July, 2000 the extraordinary meeting of SPAB Stumbras shareholders took

place.

1. The issue regarding the increase of the authorised capital was not

considered.

2. Amendments to the Articles of Association due to establishment of the

Supervisory Body as an additional  management body were approved.

3. Executing issue 1.2.2. of Resolution No.577 “Regarding Supervisory Boards of

public companies for specific purposes Stumbras, Alita, Anyksciu Vynas, and

Vilniaus Degtine” of the Government of the Republic of Lithuania as of 23 May

2000, the following persons were elected members of the Supervisory Board:

I. Adomaitytė- Head of Plant Seed Breeding Unit of Agriculture Development and

Food Department of the Ministry of Agriculture;

A. Gabalis- Head of the Operative Control Unit of State Tax Inspection of

Kaunas county;

J. Yla- Assistant county Governor;

R. Lygis- State Counsellor on Fiscal and Monetary Policy.
