DECISIONS OF THE GENERAL SHAREHOLDERS’ MEETING



At 2 p.m. on 6 February 2002, the extraordinary general meeting of AB

Dvarcioniu Keramika shareholders was held. At the meeting it was resolved to:

1) amend the company’s Articles of Association in accordance with the Company

Law of the Republic of Lithuania No. VIII-1835 of 13 July 2000.

2) Authorize the company’s director general Juozas Raiselis to sign the amended

Articles of Association.
