Pursuant to the Decision No. 2002-03-01 of the Management Board of AB Kauno

Energija of 1 March 2001, the agreement of consultation services was signed

with UAB Arthur Andersen regarding preparation of Kauno Elektrine, subsidiary

of AB Kauno Elektrine, for sale.
