RESOLUTION OF THE COMPANY’S BOARD

The Board meeting of Grigiškės AB adopted a resolutions to approve of the

merger of Naujieji Verkiai AB and Grigiškės AB and to apply to the Competition

Council for an authorisation to carry out concentration of companies. Assets

evaluation and draft reorganisation project will be launched only upon the

receipt of authorisation from the Competition Council.
