On 30 December 2003, acting on the resolution of an extraordinary general

shareholders’ meeting of 28 November 2003, Kauno Energija AB and private

company Naujasodzio Energijos Paslaugos (enterprise code 3603719) signed

Agreements on Asset Purchase and Sale and on Stock Purchase and Sale concerning

sale of assets of Kauno Energija AB (branch unit Naujasodzio Energija).
