RESOLUTIONS OF THE GENERAL MEETING OF SHAREHOLDERS AND BOARD



The following resolutions were accepted by the

11th February 2004 General meeting of shareholders:



1.To approve the new wording of the Articles of

Association of JSC Rokiskio suris. To authorize

Antanas Trumpa andor Grazina Jankauskiene to sign

the new Articles of Association and to execute any

other actions related herewith.

2.To recall all the Board.

3.To elect Nikos Nikolaidis, Dalius Trumpa,

Nerijus Dagilis, Svajunas Sipavicius and Linas Strelis

as the Board members of JSC Rokiskio suris.



The 11th February 2004 Board meeting elected Nerijus Dagilis

the Board Chairman of JSC Rokiskio suris.
