CONVOCATION OF THE GENERAL SHAREHOLDERS' MEETING OF AB MAZEIKIU NAFTA



By decision of the Board of AB Mazeikiu Nafta (code of

enterprise 6645172, address: Juodeikiai, 98467 Mažeikiai

district) annual General Meeting of Shareholders of

AB Mazeikiu Nafta will be convened on 30 April 2004 at 11 a.m.

at the Cultural Centre of  AB Mazeikiu Nafta at the address

Naftininkų g. 11, Mažeikiai.

Meeting record date - April 23, 2004.

Agenda includes: (i) Consideration of the AB Mazeikiu Nafta

Auditor’s report on the financial statements of the Company

for the year 2003 and AB Mazeikiu Nafta Business Report for

the financial year 2003; (ii) Consideration of suggestions and

comments of AB Mazeikiu Nafta Supervisory Council on AB

Mazeikiu Nafta Financial Statement for the year 2003 and AB

Mazeikiu Nafta Business Report for the financial year 2003;

(iii) Approval of AB Mazeikiu Nafta Business Report for the

financial year 2003 prepared by the Board of the Company;

(iv) Approval of AB Mazeikiu Nafta Financial Statements for

the year 2003; (v) Distribution of AB Mazeikiu Nafta net profit

(loss) for the year 2003; (vi) Amendments to the Articles of

Association of AB Mazeikiu Nafta; (vii) Establishment of payment

conditions for the auditing services rendered by AB Mazeikiu

Nafta Auditor (auditing company); (viii) Current issues.

Registration of shareholders – from 10 to 11 o'clock.

The attendees shall have personal identification document,

authorized persons - personal identification document and

document granting the right to vote at General Shareholders

Meeting.
