SUPPLEMENT OF DRAFT AGENDA OF AB MAŽEIKIŲ NAFTA GENERAL SHAREHOLDERS' MEETING

TO BE HELD ON APRIL 30, 2004



AB Mažeikių Nafta Board of Directors has decided to supplement

Draft Agenda of AB Mažeikių Nafta General Shareholders' Meeting

to be held on April 30, 2004 by the following issue: (viii) election

of a new member of AB Mažeikių Nafta Supervisory Council (to replace

the resigned member of AB Mažeikių Nafta Supervisory Council), and

to lay out the Draft Agenda of AB Mažeikių Nafta General Shareholders'

Meeting to be held on April 30, 2004 as follows:

i) Consideration of the AB Mažeikių Nafta

Auditor’s report on the financial statements of the Company

for the year 2003 and AB Mažeikių Nafta Business Report for

the financial year 2003; (ii) Consideration of suggestions and

comments of AB Mažeikių Nafta Supervisory Council on AB Mažeikių

Nafta Financial Statement for the year 2003 and AB Mažeikių Nafta

Business Report for the financial year 2003;

(iii) Approval of AB Mažeikių Nafta Business Report for the

financial year 2003 prepared by the Board of the Company;

(iv) Approval of AB Mažeikių Nafta Financial Statements for

the year 2003; (v) Distribution of AB Mažeikių Nafta net profit

(loss) for the year 2003; (vi) Amendments to the Articles of

Association of AB Mažeikių Nafta; (vii) Establishment of payment

conditions for the auditing services rendered by AB Mažeikių Nafta

(auditing company); (viii) Election of a new member of AB Mažeikių

Nafta Supervisory Council (to replace the resigned member of

AB Mažeikių Nafta Supervisory Council), (ix) Current issues.
