Regarding acquisition of shares of Juodeikiu Nafta UAB



On January 17, 2005 the Board meeting of Mazeikiu Nafta AB passed a decision to

acquire from Lukoil Baltija UAB 5540 (five thousand five hundred and forty)

ordinary registered shares with a nominal value of LTL 100 each issued by

Juodeikiu Nafta UAB, which is a subsidiary company of Mazeikiu Nafta AB. After

the transaction Mazeikiu Nafta AB will hold a 100 percent stake in the

authorized capital of Juodeikiu Nafta UAB.
