INITIAL DISCLOSURE OF TAKE-OVER BID



OÜ Trigon Wood (former name OÜ Trigon RED Finance) hereby announces that 

according to Takeover Rules Art. 12 and Securities Market Act Art. 166 and 

due to gaining dominant influence over AS Viisnurk, OÜ Trigon Wood is 

obliged to make a take-over bid for all shares of AS Viisnurk that are yet 

not owned by OÜ Trigon Wood. 



OÜ Trigon Wood gained dominant influence over AS Viisnurk on June 3rd 2005 

by acquiring 2,675,752 shares of AS Viisnurk (59.47% of share capital) 

from the previous majority owner Baltic Republics Fund. 



OÜ Trigon Wood will publish the take-over bid after confirming the take-over 

announcement, prospectus and rules with the Financial Supervisory Authority.



OÜ Trigon Wood does not intend to stop the listing of the shares of 

AS Viisnurk at the Tallinn Stock Exchange because OÜ Trigon Wood as a 

financial investor considers the listing increasing the value of AS Viisnurk.
