PROFIT DISTRIBUTION PROPOSAL



Audited net profit of AS Merko Ehitus earned in 2000

was EEK 66,595,416.



Management Board's proposal for distribution of EEK 66,595,416 

is as follows:



1. To mandatory reserve account: EEK 3,329,771;

2. To pay dividends to shareholders in the amount of EEK 13,275,000

   (EEK 1.50 per share) or 20 per cent of the net profit.

3. The remaining share of the profit in the amount of EEK 49,996,255 will 

not be allocated between shareholders.



Management Board proposes to close the list of shareholders

for dividend payments on 25.04.2001 and to pay dividends 

on 03.05.2001.
