PROPOSAL FOR PROFIT DISTRIBUTION 2001



Audited net profit of AS Merko Ehitus for the financial year 2001 was 

EEK 88 312 055.



The Board of Directors of AS Merko Ehitus proposes to distribute the 

undistributed profit of EEK 137 524 906 as follows:



1. To mandatory legal reserve EEK 645 229.

2. To share holders in dividends EEK 35 400 000, which makes EEK 4 per share. 

   EEK 2 per dividend for one share is to be paid according to dividend 

   policy (according to which 20 % of the net profit for the year is to paid 

   out in dividends) and 2 EEK per share as a lump-sum payment.

3. The remaining profit of EEK 101 479 677 is to be left undistributed. 



The Board makes a proposal to compile a list of shareholders who have the 

right to collect dividends per 26 April 2002 at 8.00 A.M and pay out the 

dividends on May 3rd 2002.
