ESTABLISHMENT OF TALLINNA KAUBAMAJA AS SUBSIDIARY

 

On January 15, 1999, the Management Board of Tallinna Kaubamaja 

AS signed the establishment documents of a 100% subsidiary 

Tallinna Kaubamaja Kinnisvara AS. All the estates owned by 

Kaubamaja and non-fixed assets inseparable from these will be 

assigned to the subsidiary as non-monetary deposit. The 

subsidiary will also take over the mortgages on the estates and 

89.5 million EEK worth of liabilities to Hansapank. The owners’ 

equity of the company to be established is 203,018,281 EEK. The 

members of the Supervisory Board of Tallinna Kaubamaja Kinnisvara 

AS are Toomas Luman, Jüri Käo and Peeter Tohver. The chairman of 

the Management Board is Urmo Vallner and managing director Valeri 

Künnapu. The subsidiary was established to arrange the structure 

of Kaubamaja group.
