PROPOSAL TO AGM NOT TO PAY DIVIDENDS



According to  the decision  of the  Board of  AS Eesti  Ühispank of 14

March 2000  the proposal  not to  pay dividends  for economic  year of

1999 will be made to the  Annual General Meeting of shareholders on  7

April 2000. Proposal to  use the profit of  1999 to cover the  loss of

1998 will be made.
